Sales Representative Agreement
This Agreement (this “Agreement”) made between the Best Damn Company, LLC ( “Company”) and any person (collectively “you,” “your” or “I”) who completes the registration process to become a sales representative (“Sales Representative”) with the Company.
1. Sales Commission
You, as Sales Representative, shall receive from the Company, Fifty Dollars ($50.00) (“Sales Representative Commission”) for every local advertisement, sold for One Hundred Dollars ($100.00), and included on your specific Town Site, whether sold directly by you or not. Advertising sold out side the city or town limits of your respective town, or city, must be approved by the company.
2. Payments
Sales Representative Commissions shall be paid on, or before, September 10, 2006.
3. Costs
Both You and the Company shall bear their own respective costs associated with advertising acquired under this Agreement.
4. Duties of the Sale Representative
a) The Company shall only engage one Sales Representative per town on the Town Site.
b) The Company shall provide payments to Sales Representative as set forth in this Agreement
5. Duties of the Sale Representative
a) The Sales Representative shall follow the sales training provided by the Company as closely as possible and complete the training in the time allotted. Failure to do so shall result in the termination of this Agreement by the Company. Upon such termination, the Company shall enter into a new agreement with another Sales Representative for the respective town. You shall be entitled to no further Sales Representative Commissions upon any termination.
b) The Sales Representative shall make every effort to follow the “Daily Schedule to Success” as outlined in the training provided by the Company. Failure to do so shall result in the termination of this Agreement by the Company. Upon such termination, the Company shall enter into a new agreement with another Sales Representative for the respective town. You shall be entitled to no further Sales Representative Commissions upon any termination.
c) The Sales Representative shall make no representations on behalf of the Company or agree to provide anything other than the advertisements contemplated under this Agreement.
4. General Provisions
a) Each party acknowledges and agrees that any information relating to the other party’s business which is not generally known to the public is confidential and proprietary information. Neither party will disclose the Confidential Information to third parties without prior written agreement.
b) This agreement may be amended from time to time by mutual consent. Any amendments to this agreement must be in writing and signed by both parties.
c) This Agreement will continue in effect unless terminated by either party upon sixty (60) days written notice.
d) This Agreement will be governed by and construed under, and the legal relations between the parties will be determined in accordance with, the laws of the State of Colorado, without giving effect to such state’s conflict of law principles.
e) The parties have read this Agreement and agree to be bound by its terms, and further agree that it constitutes the complete and entire agreement of the parties and supersedes all previous communications, oral or written and all other communications between them relating to the license and to the subject hereof. No representations or statements of any kind made by either party, which are not expressly stated herein, shall be binding on such party.
